INTELLECTUAL PROPERTY RIGHTS (IPR) POLICY

1. Introduction

This Intellectual Property Rights Policy (“Policy”) defines the ownership, usage rights, protection measures, and restrictions relating to all intellectual property (“IP”) owned, created, licensed, or controlled by Bani Global Industries LLP (“Company”, “We”, “Us”, “Our”).

This Policy applies to all Website users, vendors, partners, employees, clients, and any individual or entity interacting with:

  • baniglobal.in
  • Any Bani Global digital property
  • Products, brands, software, platforms, or creative content owned by the Company
2. Ownership of Intellectual Property

All intellectual property, including but not limited to:

  • Trademarks
  • Logos, brand names, and corporate identities
  • Product designs and artworks
  • Written text, images, videos, and creative assets
  • Software, website code, UI/UX, databases
  • Technical documentation, processes, algorithms
  • Digital platforms, mobile applications, and APIs
  • Business methodologies, SOPs, and operational frameworks
  • Marketing content, catalogues, and trade dress

is the exclusive property of Bani Global Industries LLP, unless explicitly stated otherwise through a formal written agreement.

This includes all brands and divisions under the corporate umbrella, such as:

  • Laddynest (luxury nightwear & loungewear brand)
  • Corporate travel, technology, and logistics platforms
  • Procurement, vendor, and operational systems
3. Trademark Usage

All trademarks, registered or unregistered, including:

  • Brand names
  • Product names
  • Corporate identifiers
  • Logos and monograms

are legally protected.

Unauthorized:

  • Reproduction
  • Alteration
  • Distribution
  • Affixing on products
  • Digital usage
  • Brand association or representation

is strictly prohibited and may result in civil or criminal proceedings under the Trademarks Act, 1999.

4. Copyright Protection

All original creative works published by the Company—including product content, website content, photographs, catalogues, designs, marketing collateral, and digital media—are protected under the Copyright Act, 1957.

Users are prohibited from:

  • Copying
  • Reposting
  • Republishing
  • Reproducing
  • Reverse-engineering
  • Editing or redistributing

Company content, whether for commercial or non-commercial purposes, without prior written approval.

5. Software, API & Technology Rights

The following technical assets are the sole property of the Company:

  • Software tools
  • API integrations
  • Backend systems
  • Databases
  • Mobile apps
  • Website code
  • System architecture
  • Internal dashboards
  • Admin portals
  • Proprietary technology solutions

Unauthorized access, scraping, replication, or reverse engineering is a serious violation and may lead to:

  • Termination of service
  • Blacklisting
  • Legal action under IT Act, 2000
  • Criminal investigation under cybercrime laws
6. Vendor, Employee & Partner Restrictions

Vendors, employees, contractors, consultants, and partners must adhere strictly to the following:

  • No use of Company IP outside assigned scope
  • No sharing of designs, technical assets, content, or confidential materials
  • No use of Company trademarks without written authorization
  • No replication of B2B/tech systems for external use
  • No distribution of internal documents or creative assets

Any IP created during employment or contractual engagement is considered Company-owned IP.

7. Prohibition on Misuse & Misrepresentation

No individual or entity may:

  • Claim association with the Company without approval
  • Use Company branding for personal or commercial gain
  • Create imitation websites, apps, or promotional materials
  • Sell, market, or distribute products using Company IP
  • Use the Company’s name or marks in domain names, social handles, or advertisements

Violations will result in strict legal action.

8. Reporting IP Violations

Suspected IP infringements—including counterfeit products, copied content, fraudulent websites, or unauthorized use—should be reported to:

The Company will evaluate the complaint and initiate appropriate legal or enforcement action.

9. Enforcement Measures

The Company reserves full legal rights to:

  • Issue cease & desist notices
  • File civil suits for injunctions and damages
  • Initiate criminal complaints for fraud or cybercrime
  • Report unauthorized sellers to marketplaces
  • Pursue legal action under IP and IT laws

The Company may also suspend or blacklist offending vendors or users.

10. Limited License for Personal Use

Unless expressly permitted:

  • Users may access the Website for informational purposes only.
  • Users are not permitted to:
    • Download content for commercial use
    • Frame or clone Company webpages
    • Use automated tools to extract or scrape data
    • Make derivative works from Company IP

Any limited access granted does not constitute transfer of rights or ownership.

11. Third-Party Intellectual Property

The Website may display third-party trademarks or content under license or permission. Such IP remains the property of the respective owners.

Users may not claim ownership or rights over any third-party material.

12. Amendments

The Company may revise or update this Policy to reflect:

  • Business restructuring
  • New brand launches

  • Enforcement needs

Revised versions will take effect upon publication.
